Event Waiver And Release of Liability

1. Acknowledgment and Assumption of Risk

The individual named below (referred to as “I” or “me”) desires to participate in GRANOGI Events, which include activities such as yoga, hiking, meditation, camping, or other outdoor wellness activities (the “Event”), provided by GRANOGI, LLC, a Utah limited liability company (“GRANOGI”).

As lawful consideration for being permitted by GRANOGI to participate in the Event, I agree to all the terms set forth in this Agreement (the “Agreement”).

I understand and acknowledge that participation in the Event and related activities (the “Activities”) involves inherent risks, including but not limited to: dehydration, fatigue, falls, slips, heat exhaustion, heat stroke, sprains, animal encounters, drowning, and other serious injuries or death.

I certify that I am physically able to participate, have no known medical conditions that would increase my likelihood of injury, and I voluntarily assume all such risks.

I understand these activities involve risk of serious injury or death.

2. Release and Waiver of Liability

I fully and forever release, discharge, and hold harmless GRANOGI and its officers, directors, managers, employees, volunteers, agents, instructors (including third-party instructors), independent contractors, affiliates, members, successors, and assigns (collectively, “Released Parties”) from any and all claims, actions, damages, losses, costs, liabilities, or demands — known or unknown — arising out of or related to my participation in the Event or Activities, whether caused by the negligence of the Released Parties or otherwise.

This includes, without limitation, claims for personal injury, death, property damage, or medical expenses, and extends to all acts of negligence or omissions, including emergency response or rescue operations.

I waive my right to sue GRANOGI, even if injury results from its negligence.

3. Indemnification

I agree to defend, indemnify, and hold harmless GRANOGI and all Released Parties from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including attorney’s fees and litigation costs) arising from or related to:

• My participation in the Event or Activities;

• My breach of this Agreement; or

• Any claim brought by a third party related to my conduct or participation.

I agree to cover any legal or financial costs if my actions cause a claim.

4. Medical Treatment and Responsibility

If an emergency or other incident occurs in which, in the sole judgment of GRANOGI or medical personnel, medical treatment is deemed necessary, I consent to such treatment.

I understand that GRANOGI is not obligated to provide medical care or insurance, and that I am solely responsible for any medical expenses resulting from my participation.

I am responsible for my own medical insurance and expenses.

5. Media Release

I understand that my image may be captured during the Event and grant GRANOGI unrestricted permission to use photos, videos, or recordings of me for any lawful purpose, including promotional or advertising uses, in any media format, without compensation or further notice.

I waive any right to inspect or approve such use. This release extends to GRANOGI, its affiliates, sponsors, and assigns.

I grant permission for GRANOGI to use my image and recordings.

6. Health and Disease Waiver

I understand and accept that participation may expose me to contagious diseases (including COVID-19 and other illnesses). I voluntarily assume this risk and release GRANOGI and the Released Parties from all related claims, damages, or losses.

7. Severability and Governing Law

This Agreement constitutes the sole and entire agreement between GRANOGI and me. It is intended to be as broad and inclusive as permitted by law.

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force.

This Agreement shall be governed by and construed under the laws of the State of Utah, and any claims shall be brought exclusively in the state or federal courts of Salt Lake County, Utah, to which I consent.

8. Attorney’s Fees

If GRANOGI or any Released Party must enforce this Agreement, I agree to indemnify and reimburse all associated attorney’s fees and costs.

9. Participant Acknowledgment

I verify that:

1. I am at least 18 years of age, or my legal guardian has signed on my behalf;

2. I am in good health and understand the physical nature of the Event;

3. I have carefully read and fully understand all terms of this Agreement;

4. I am voluntarily giving up substantial legal rights, including the right to sue.

By signing below, I voluntarily and knowingly agree to be bound by this waiver and release.
